Terms & Conditions
Wholesale corrugated manufacturing terms, prepress sign-off protocols, production tolerances, and commercial obligations.
1. Scope of Agreement & B2B Commercial Nature
These Terms & Conditions govern all transactions, purchase orders, CAD dieline engineering, prepress file preparations, and manufacturing runs executed by Mailer Box Factory ("Manufacturer") for commercial buyers, retail brands, and corporate purchasers ("Client"). All orders placed with Mailer Box Factory are wholesale commercial B2B contracts; consumer retail cancellation statutes do not apply to custom-converted corrugated packaging.
2. Minimum Order Quantities (MOQ) & Volume Tiers
Because custom corrugated manufacturing requires dedicated press make-readies, ink washdowns, and rotary die-cutting setups, production orders are subject to established minimum run volumes:
- Standard Custom Mailer Boxes: Starting at 500 units per size/artwork version.
- High-Speed Flexographic Runs: Tiered discounts apply at 1,000, 2,500, 5,000, 10,000, and 25,000+ units.
- Prototypes & Pre-Production Samples: Structural unprinted or digitally printed sample mockups can be fabricated upon request prior to full volume runs.
3. Artwork Submission & Prepress Proof Approval
Accurate production relies on rigorous prepress verification. The Client agrees to the following sign-off requirements:
- Digital Proof Sign-Off: Production lines do not schedule or convert board until the Client returns written or digital approval of the official 2D CAD dieline and PDF proof.
- Client Responsibility for Copy & Layout: The Client is solely responsible for proofreading text, barcode readability (UPC/EAN standards), regulatory disclosures, ingredient panels, and graphic placements. Mailer Box Factory is not liable for typographical or layout errors present in client-approved files.
- Color Reproduction & Standards: Flexographic printing on corrugated kraft board (natural brown) naturally absorbs ink differently than coated white board. While we adhere to G7 calibration standards, exact visual matches to RGB computer screens cannot be guaranteed due to substrate porosity.
4. Corrugated Manufacturing Tolerances
Corrugated packaging converting involves high-speed mechanical slitting, rotary die-cutting, folding, and fluting. All orders are subject to recognized packaging industry standard tolerances:
- Dimensional Variance: Cutting and creasing tolerances are maintained within ±1/16 inch (±1.5 mm). Interior measurements define the functional usable cavity.
- Registration & Print Alignment: Multi-color print registration on rotary flexographic presses may vary by up to ±1/32 inch (±0.8 mm) relative to dieline scores.
- Quantity Over/Under Run (Yield Variance): In accordance with standard corrugated converter trade customs, finished counts may vary by up to ±5% (orders over 2,500 units) or ±10% (orders under 2,500 units). Final invoicing reflects actual billable delivered quantities.
- Edge Crush Test (ECT) & Board Strength: Fluting grades (E-Flute, B-Flute, C-Flute) conform to TAPPI industry standards for certified ECT ratings (e.g., 32 ECT or 44 ECT).
5. Tooling, Steel-Rule Dies & Printing Plates
Custom cutting dies, stripping tooling, and photopolymer flexographic printing plates engineered for client orders remain dedicated exclusively to that client’s packaging runs. Tooling charges cover design engineering, prepress laser cutting, and maintenance. Unless specifically agreed in writing as an asset sale, physical cutting dies and plates remain housed in our manufacturing plant for rapid repeat production.
6. Payment Terms & Invoicing
Standard payment terms for custom manufacturing require full settlement or verified deposit prior to raw board converting and freight dispatch:
- Standard Orders: 100% prepayment upon proof sign-off via wire transfer, ACH, corporate credit card, or approved commercial purchasing card.
- Established Net Terms: Available for recurring enterprise clients subject to credit approval and completed trade credit reference verification.
- Late Payments: Accounts past due may incur a late finance charge of 1.5% per month (or the maximum allowed by law) plus reasonable collection costs.
7. Intellectual Property & Indemnification
The Client warrants that all trademarks, logos, copy, and imagery submitted for printing are owned by the Client or licensed with proper authorization. The Client agrees to indemnify, defend, and hold harmless Mailer Box Factory and its affiliates against any third-party claims, trademark infringements, or copyright disputes arising from reproducing client-provided graphic assets.
8. Limitation of Liability
Mailer Box Factory’s total liability for any claim arising out of the performance or breach of a manufacturing contract shall not exceed the invoice purchase price of the specific order giving rise to the claim. Under no circumstances shall Manufacturer be liable for indirect, incidental, consequential, lost profits, or special damages.
9. Governing Law & Jurisdiction
These terms and any commercial disputes arising from packaging orders are governed exclusively by the laws of the State of Illinois, without regard to conflicts of law principles. Any legal action or dispute resolution shall be instituted in the state or federal courts located in Cook County, Illinois.
